These Terms of Service govern your use of the inapps.net website and any related services provided by InApps Technology Co., Ltd. Please read them carefully before using our site.
⚠ IMPORTANT LEGAL NOTICE
These Terms of Service govern your use of the inapps.net website (the "Site"). They are separate from any Master Service Agreement (MSA), Statement of Work (SOW), or project contract you may enter into with InApps Technology for the delivery of software development or IT services. Where a signed project contract exists, its terms take precedence over these Terms of Service for matters relating to service delivery.

- You are at least 18 years of age and have the legal capacity to enter into a binding agreement
- If accessing the Site on behalf of a company or organisation, you have authority to bind that entity to these Terms

4.1 Website enquiries vs. contractual engagements

Submitting a contact form, requesting a proposal, or scheduling a call does not create a binding contract between you and InApps. A binding engagement is only created when both parties have executed a written MSA and/or SOW.
4.2 Project contracts govern service delivery
All matters relating to project scope, deliverables, timelines, payment, intellectual property assignment, warranties, liability, and dispute resolution for specific engagements are governed by the applicable MSA and SOW, not by these Terms of Service.
4.3 No guarantee of availability
InApps does not guarantee that any specific service, pricing, timeline, or resource will be available at any given time. All proposals and quotes are subject to resource availability and mutual agreement at the time of contracting.
4.4 Changes to services
We may modify, suspend, or discontinue any aspect of our services or the Site at any time, with or without notice. We will not be liable to you or any third party for such modifications.
5. Intellectual Property
5.1 Ownership of Site Content
All Content on this Site, including text, graphics, logos, photography, illustrations, case studies, blog posts, downloadable resources, and software, is owned by or licensed to InApps Technology and is protected by copyright, trademark, and other intellectual property laws.
5.2 Permitted personal use

If you submit feedback, ideas, or suggestions regarding the Site or our services, you grant InApps a perpetual, royalty-free, worldwide, irrevocable licence to use, implement, and share such feedback for any purpose, without obligation or compensation to you.
6. Confidentiality
These Terms of Service do not impose general confidentiality obligations on either party in respect of information submitted via the Site (such as contact form messages or project enquiries). Such information is handled in accordance with our Privacy Policy.
Where confidentiality is required in connection with a specific engagement, the parties will execute a separate NDA or include confidentiality provisions in the applicable MSA or SOW. InApps is committed to handling all client and prospect information with strict professional discretion.
7. Privacy & Data Protection
Your use of this Site is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. By using the Site, you consent to our collection and use of information as described in those policies.

10.2 Cap on liability
To the extent that liability cannot be fully excluded, InApps' total aggregate liability to you in connection with your use of this Site (excluding any separate project contract) shall not exceed the greater of: (a) the amount you have paid to InApps in the three months preceding the claim; or (b) USD 100.
10.3 Jurisdictions that restrict exclusions
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for certain types of loss. In such jurisdictions, our liability is limited to the greatest extent permitted by applicable law. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
11. Indemnification
You agree to indemnify, defend, and hold harmless InApps Technology, its directors, officers, employees, contractors, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgements, awards, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

- Your use of the Site in a manner not authorised by these Terms
- Your infringement of any third-party intellectual property, privacy, or other rights
- Any content or information you submit to the Site (including contact form submissions)
- Your violation of any applicable law or regulation
12. Termination & Access Suspension
InApps reserves the right, at our sole discretion, to:
- Terminate or restrict your access to the Site at any time, without notice, for any reason
- Remove or disable any Content or functionality of the Site at any time
- Suspend access for users who violate these Terms or engage in conduct harmful to the Site or other users
Termination of access does not affect any rights or obligations that have accrued prior to termination. Sections 5, 6, 9, 10, 11, and 13 survive termination of these Terms.
13. Governing Law & Dispute Resolution
13.1 Governing law
These Terms of Service are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam, without regard to its conflict of law provisions. InApps acknowledges that Users from the United Kingdom, European Union, Australia, and other jurisdictions may have rights under their local consumer and data protection laws that cannot be excluded.
13.2 Dispute resolution
In the event of any dispute arising out of or relating to your use of the Site or these Terms, the parties agree to:
- Attempt to resolve the dispute informally by contacting InApps at legal@inapps.net within 30 days of the dispute arising
- If informal resolution fails, submit the dispute to non-binding mediation administered by a mutually agreed mediator
- If mediation fails, submit to the exclusive jurisdiction of the competent courts of Ho Chi Minh City, Vietnam
13.3 Class action waiver
To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis only and not as part of a class, consolidated, or representative action.
14. Changes to These Terms
We may revise and update these Terms of Service from time to time at our sole discretion. Changes become effective immediately upon posting to this page, with a revised "Last Updated" date. For material changes that significantly alter your rights or obligations, we will provide at least 14 days' advance notice by posting a prominent notice on the Site homepage or sending an email notification (if we hold your email address).
Your continued use of the Site after the effective date of any revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Site.
15. General Provisions

15.4 Assignment, You may not assign or transfer your rights or obligations under these Terms without InApps' prior written consent. InApps may assign or transfer its rights and obligations without restriction.
15.5 Force majeure, InApps is not liable for any failure or delay in performing obligations due to circumstances beyond our reasonable control, including natural disasters, government actions, labour disputes, internet outages, or cyberattacks.
15.6 Language, These Terms of Service are written in English. In the event of any conflict between an English version and any translation, the English version prevails.
